Non-Disclosure Agreement

1. Confidential Information Definition

"Confidential Information" includes all proprietary information disclosed by 16Fold LLC, including but not limited to: AI agent architectures, prompts, system configurations, client lists, business processes, pricing strategies, competitive intelligence, trade secrets, and any information marked as confidential or that would reasonably be considered confidential.

2. Non-Disclosure Obligations

You agree to:

• • Maintain absolute confidentiality of all Confidential Information
• • Not disclose, publish, or communicate any Confidential Information to third parties
• • Use Confidential Information solely for evaluating potential business relationships
• • Take reasonable precautions to prevent unauthorized disclosure
• • Not reverse engineer, decompile, or attempt to derive source methods

3. Exceptions

Obligations do not apply to information that: (a) is publicly available through no breach of this agreement, (b) is rightfully received from a third party without breach, (c) is independently developed without use of Confidential Information, or (d) is required to be disclosed by law.

4. Duration

Trade secrets remain confidential indefinitely. Other Confidential Information remains confidential for 3 years from disclosure date or until it becomes publicly available through authorized means.

5. Return of Information

Upon request or termination of discussions, you will promptly return or destroy all Confidential Information and any copies, notes, or derivatives thereof.

6. Remedies

Breach may cause irreparable harm. 16Fold LLC is entitled to equitable relief including injunction and specific performance, without prejudice to other available remedies. Ohio courts have jurisdiction.

7. Governing Law

This agreement is governed by Ohio law without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under AAA Commercial Rules in Columbus, Ohio.
